Failure to file your annual report with the Secretary of State will bring about an administrative dissolution of your company. Many continue to operate unaware that their company is dissolved and they are without the limited liability protections they thought they had. This can be disastrous when litigation arises. Always check the Secretary of State records to make sure your company is active and in good standing.
